12. Indemnification
You agree to defend, indemnify, and hold harmless Micro Matic, its affiliates, partners, licensors,
and service providers, and its and their respective officers, directors, employees, contractors,
agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities,
damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys9
fees and expenses) arising out of or relating to your breach of this Agreement or your use of the
Equipment, your Account, Smart Draft#, or the Beverage Portal.
13. Force Majeure
Micro Matic and its affiliates, partners, licensors, and service providers will not be liable or
deemed to be in default for any delay or failure in performance or interruption of the delivery of
any services relating to the Equipment, your Account, Smart Draft#, or the Beverage Portal
resulting directly or indirectly from any cause or circumstance beyond its or their reasonable
control, including, but not limited, to failure of electronic or mechanical equipment or
communication lines, telephone or other interconnect problems, computer viruses,
unauthorized access, theft, operator errors, pandemics, severe weather, earthquakes, fire, flood
or other natural disasters, strikes or other labor problems, wars, civil unrest, acts of terrorism or
governmental restrictions.

You agree that any past, present, or future claim, controversy, or dispute of any description (the
