By Registering the Equipment with Smart Draft# and/or the Beverage Portal, creating an
Account, or Accessing the Data, you acknowledge and agree that we have the unconditional
right to monitor, collect, own, process, share, and otherwise use all Data obtained by the
sensor.
4. Ownership of Data and License
The Data and all intellectual property rights relating to the Data are owned by Micro Matic or its
affiliates, partners, licensors, or service providers and are protected by United States and
international copyright, trademark, patent, trade secret, and/or other intellectual property or
proprietary rights laws. As between you and Micro Matic, you acknowledge and agree that Micro
Matic owns and shall retain all right, title, and interest in and to the Data. Micro Matic9s
ownership of the Data as described in this paragraph shall survive the suspension or termination
of any Registration or Account.
While and for so long as the Equipment remains Registered and associated with your Account,
Micro Matic grants you a non-exclusive license to use the Data for your internal business
purposes except to the extent that your use of the Data conflicts with and/or materially limits
Micro Matic9s exercise of its rights in and to the Data as set forth in this Agreement. The license
to the Data in this paragraph shall expire in the event that and for so long as the Equipment is no
longer Registered and associated with your Account.
You expressly acknowledge and agree that, in the event that a third party is added as a user
with an Account to the Equipment with which you may be associated or the Equipment is
rented, sold, gifted, or otherwise lawfully transferred to a third party and the third party
creates an Account and associates it with the Equipment, (i) the Data may be disclosed, shared,
and/or otherwise accessible to and usable by that third party; and (ii) the third party shall have
the full right and license to access and use the Data as set forth in this Agreement. You have
the right to delete your Account at any time, which will terminate your Account access to the
Data.
5. Use of Data and Business Contact Information
By Registering the Equipment, creating an Account, and/or Accessing the Data, you (as Owner,
User, or Installer) expressly acknowledge and agree that Micro Matic and its affiliates, partners,
permitted assigns, and licensees may collect, process, and use the Data, your Contact
Information, and/or a combination of the Data and your Contact Information for business
purposes, including, without limitation, (i) for monitoring and servicing the Equipment and
Equipment components, (ii) for diagnostics, (iii) for advertising, marketing, and promotion of
Micro Matic and its products and services, (iv) for advertising, marketing, and promotion of a
third party and its products and services, (v) for analytics, statistics, research, testing, and
reporting, (vi) for disclosure, licensing, and/or sale to third parties, or (vii) for any other legitimate
business purpose (
